Welcome to VGNCloud! These Terms of Service ("Terms", "TOS") govern your use of the game server and web hosting services (the "Services") provided by VGNCloud ("we", "us", or "our"), including services purchased via the ValueGameNode storefront/marketing brand. These Services are operated by Worldisthelimit (Finnish Business ID: 3555278-8). By purchasing, accessing, or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.

2. Service Description

VGNCloud (and its associated brand ValueGameNode) provides a range of hosting solutions, including high-performance game servers (primarily for Minecraft), web hosting, and virtual private servers (VPS). We offer various service plans with different allocations of resources such as CPU, RAM, storage and network traffic. All service plans are subject to the terms outlined herein.

Virtual Private Servers (VPS):

A VPS is a virtual machine on which you have full administrative (root) access and on which you may install and run software of your choosing, subject to the Acceptable Use Policy in Section 5. Each VPS is provided with one dedicated IPv4 address and is hosted in Helsinki, Finland.

  • Setup is a separate step. A VPS is not created at the moment of purchase. Your purchase entitles you to a machine, which you then set up in the cloud panel by choosing an operating system, a hostname and, optionally, an SSH key. Nothing is provisioned until you do.
  • Outbound email is blocked by default. Outbound SMTP is rejected on ports 25, 465, 587 and 2525 on every VPS. This is a platform-level restriction that a firewall rule of your own cannot override. It exists to prevent one compromised machine from causing our address ranges to be blocklisted, which would affect every customer. Sending email through a mail provider's HTTPS API is unaffected. If you have a legitimate need for outbound SMTP, contact support and we will consider opening it for your machine.
  • Port speed. Some plans specify a maximum outbound network speed. Where a plan specifies one, it is stated on the plan and applied to the machine.
  • Administrative access. Because you hold root access, you are responsible for the security, patching and configuration of the machine and for everything it does. See Sections 5 and 7.

3. Account Registration and Security

  • You must provide accurate and complete information when registering for an account and keep this information up to date.
  • You are responsible for maintaining the confidentiality of your account credentials (e.g., password, API keys).
  • You are solely responsible for all activities that occur under your account, including any actions taken on your game server or web hosting space.
  • Notify us immediately of any unauthorized use of your account or any other breach of security.

4. Server Access and Management

  • Users are provided access to their services via industry-standard control panels (e.g., Pterodactyl for game servers), which may include SFTP access and other management tools.
  • Servers may operate on shared IP addresses, with individual game servers distinguished by unique port numbers. VGNCloud reserves the right to change IP addresses or ports as necessary for operational reasons, with reasonable notice where feasible.

5. User Obligations and Acceptable Use Policy (AUP)

Permitted Use:

  • Services may only be used for their intended purpose (e.g., a Minecraft server plan must be used for Minecraft, a web hosting plan for hosting websites).

User-Installed Software:

  • You are permitted to install third-party software, mods, plugins, scripts, and custom versions on your service.
  • You are solely responsible for ensuring you have the necessary licenses, permissions, and rights for any software you install or use.
  • You are responsible for the security, stability, and compatibility of any user-installed software. VGNCloud is not responsible for issues arising from user-installed software.

Prohibited Activities:

You agree not to use the Services for any of the following:

  • Any illegal activities or hosting illegal content under Finnish law and your local jurisdiction.
  • Hosting or distributing copyrighted material for which you do not hold the rights.
  • Activities that are harmful, fraudulent, deceptive, threatening, harassing, defamatory, obscene, or otherwise objectionable.
  • Transmitting malware, viruses, or any other malicious code.
  • Engaging in or facilitating Denial of Service (DoS) or Distributed Denial of Service (DDoS) attacks, or any activity that disrupts or degrades the Services or network infrastructure for other users.
  • Unauthorized network scanning, probing, or penetration testing.
  • Sending unsolicited emails (spam) or engaging in phishing.
  • Operating software that causes undue strain on server resources or network stability, including but not limited to cryptocurrency mining software.
  • Violating the End User License Agreement (EULA) or terms of service of any game or software hosted on the server.

Resource Abuse (CPU, Disk I/O, Network):

Fair usage is required to ensure stability for all customers. Except where a plan states a specific limit (for example an included traffic allowance or a maximum port speed), we do not strictly cap resources for typical operations. You may not abuse resources in a way that negatively impacts the performance of the underlying hardware or other users. This includes, but is not limited to:

  • CPU: Continuous, high-load CPU usage (e.g., cryptocurrency mining or poorly optimized scripts) is prohibited.
  • Disk I/O: Excessive disk read/write operations (e.g., constant heavy database writes or large-scale file generation) that degrade storage performance are prohibited.
  • Network: Usage that saturates the network uplink or involves excessive packet generation is prohibited.
  • Attacks on others: Using a Service to participate in, launch, or act as a source for a denial-of-service attack, a port scan, a brute-force attempt against another system, or any other unsolicited traffic directed at a third party is prohibited. This applies whether the traffic originates from your own actions or from software running on your Service without your knowledge; you remain responsible for what your machine sends.
  • Unsolicited email: Using a Service to send unsolicited bulk email is prohibited, including where outbound SMTP has been opened for you on request.

VGNCloud reserves the right to intervene, throttle, or suspend services if resource usage is deemed abusive or detrimental to the service stability. We monitor aggregate network volume for this purpose; see Section 8 and our Privacy Policy. Where the conduct is causing, or is likely to cause, harm to a third party or to our upstream network connectivity, we may suspend the Service immediately and without prior notice, and will tell you why as soon as we reasonably can.

Server Responsibility:

  • You are primarily responsible for the configuration, content, and ongoing operation of your service. VGNCloud is not responsible for user-caused errors, data loss due to user actions, or misconfigurations.

6. Special Terms for Free Tier Services

  • Availability: Free Tier services are provided with limited slots and operate on a queue-based system. VGNCloud does not guarantee immediate availability or a specific position in the queue.
  • Session Limits: Free Tier game servers are subject to a mandatory session limit of three (3) hours. After this duration, the server will be automatically shut down. The user may restart the server manually, subject to current slot availability and queue status.
  • Inactivity and Data Deletion: VGNCloud reserves the right to suspend Free Tier servers that have not been started for seven (7) consecutive days. If the server remains inactive for a total of fourteen (14) days, VGNCloud reserves the right to permanently delete the server and all associated data without further notice.
  • No SLA: Section 9 (Refund and Service Level Agreement) does not apply to Free Tier services. No compensation or service credits are provided for downtime or interruptions on free plans.

7. Data and Backups

  • VGNCloud does not provide automatic data backups for user services.
  • You are solely responsible for creating and maintaining your own backups of your data, configurations, and any user-installed software.
  • VGNCloud is not liable for any loss of data, regardless of the cause.
  • VPS in particular: reinstalling a VPS erases its disk, and terminating one destroys the disk permanently. Both are confirmed before they run, and neither can be undone by us afterwards. Copy anything you want to keep off the machine first.

8. Payments, Billing, and Renewals

  • Payment Gateway: We use Stripe to process payments. By making a purchase, you agree to Stripe's terms of service.
  • Billing Cycle: Services are billed on a monthly basis.
  • Payment Due: Your billing cycle begins on the day you purchase the service and renews each month on that same calendar day. Payment for the upcoming month of service is due on this monthly renewal date.
  • Late Payments & Suspension: If an invoice is not paid by its due date, we will email you. If it remains unpaid three (3) days after the due date, your Service will be suspended: it is taken off the network and stops running, and its data is left untouched. Paying restores it.
  • Service Termination for Non-Payment: If payment is still not received, your Service will be terminated and all associated data will be permanently deleted. How long you have depends on which Service it is:
    • A game server is terminated seven (7) days after the due date.
    • Web hosting and a VPS are terminated fourteen (14) days after the due date.
    In both cases we send reminders before it happens, including a final notice at least three (3) days beforehand, to the email address on your account. It is your responsibility to keep that address current and reachable.
  • What termination destroys. For a VPS this is irreversible and immediate: the virtual machine and its disk are destroyed, and its IPv4 address is released and may be issued to another customer. We cannot recover any of it afterwards, and we do not hold a backup. See Section 7.
  • Included traffic and overage (VPS): VPS plans include an amount of outbound network traffic per calendar month, stated on the plan.
    • Only traffic sent from your machine counts. Incoming traffic is free and is never counted against the allowance or charged for, because you cannot control how much of it arrives.
    • The period is the calendar month in UTC. The allowance is not pro-rated for a partial first month, and unused allowance does not carry over.
    • Outbound traffic beyond the allowance is charged at €1.30 per terabyte, calculated pro rata rather than per terabyte started, so a partial terabyte costs a proportional amount.
    • Overage is billed in arrears once the month has closed, and is charged to the payment method on file. Where your subscription is still active it is added to your next invoice; otherwise it is charged separately. It appears as its own line, naming the machine and the month.
    • Nothing is throttled, cut off, or suspended for exceeding the allowance. We email you when you are approaching it and again once an overage has been charged.
    • The measurement is ours, taken from the hypervisor, and is shown to you in the cloud panel throughout the month. If you believe a figure is wrong, contact support and we will review it with you.
  • Price Changes: VGNCloud reserves the right to change service prices. We will provide at least thirty (30) days' notice of any price changes, typically via email or notification within the client panel.
  • Taxes: All fees are exclusive of applicable taxes (e.g., VAT), unless otherwise stated. You are responsible for paying all applicable taxes related to your use of the Services.

9. Refund and Service Level Agreement (SLA)

NO CASH REFUNDS: ALL PAYMENTS TO VGNCLOUD ARE FINAL. By purchasing our Services and requesting immediate access, you acknowledge and agree that the performance of the contract begins immediately. Any potential refunds are handled on a case-by-case basis through our support system, but as a general rule, payments are non-refundable.

UPTIME GUARANTEE & COMPENSATION: VGNCloud is committed to service reliability and offers a 99.0% monthly uptime guarantee. If we fail to meet this commitment, customers may be eligible for compensation in the form of Service Credits, which are applied to the customer's account balance for future use. Under no circumstances will downtime or service interruptions result in a cash refund to the original payment method.

10. Scheduled Maintenance

  • VGNCloud may perform scheduled maintenance on its infrastructure to ensure optimal performance and security.
  • We will attempt to provide at least two (2) hours' notice for scheduled maintenance. Notice may be provided via our status page or through the client control panel.
  • Scheduled maintenance periods are not considered Downtime and are not eligible for any form of compensation as per Section 9.

11. Account Suspension and Termination

By VGNCloud:

We may suspend or terminate your access to the Services, in whole or in part, without prior notice, for:

  • Non-payment of fees (as outlined in Section 8).
  • Any violation of these Terms, particularly the Acceptable Use Policy (Section 5).
  • A credible report from a third party, an upstream provider, or a rights holder that a Service is being used unlawfully, including reports of copyright infringement, network abuse, or attacks originating from it. Where the report is credible and the harm is ongoing, we may suspend first and investigate afterwards.
  • Activities that are illegal, fraudulent, or pose a security risk to our Services or other users.
  • If required by law or a regulatory body.

Effect of Termination:

  • Upon termination, your right to use the Services ceases immediately. All data associated with your server will be permanently deleted as per our data retention policies (typically immediately or after the period specified for non-payment). VGNCloud will not be liable for any loss of data following termination.
  • For a VPS, termination destroys the virtual machine and its disk, and releases its IPv4 address back into our pool, from where it may later be issued to another customer. The address is not reserved for you and cannot be recovered once released.
  • Any traffic overage accrued before termination remains payable, and may be charged after the Service has ended.

By User:

  • You may terminate your Service at any time by providing notice through the client control panel or by contacting support. No refunds will be provided for any unused portion of your service period, as per Section 9.

12. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. VGNCLOUD DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Worldisthelimit BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICES. OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO US FOR THE SERVICES DURING THE ONE (1) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO SUCH CLAIM.

14. Indemnification

You agree to defend, indemnify, and hold harmless Worldisthelimit and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of:

  • a) your use and access of the Service, by you or any person using your account;
  • b) a breach of these Terms; or
  • c) Content or software you install or host on your server.

15. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of Finland, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or the Services shall first be attempted to be resolved through informal negotiation by contacting [email protected].

17. Modifications to Terms

VGNCloud reserves the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will attempt to provide at least thirty (30) days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. Notice may be provided via email, through the client panel, or by posting the updated Terms on our website. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Services.

18. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

19. Force Majeure

VGNCloud shall not be liable for any failure to perform its obligations where such failure is as a result of Acts of Nature (including fire, flood, earthquake, storm, hurricane, or other natural disaster), war, invasion, act of foreign enemies, hostilities (whether war is declared or not), civil war, rebellion, revolution, insurrection, military or usurped power, terrorist activities, nationalization, government sanction, blockage, embargo, labor dispute, strike, lockout, interruption or failure of electricity, internet or telephone service, or any other cause beyond our reasonable control.

20. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and us concerning the Services and supersede all prior or contemporaneous communications and proposals (whether oral, written, or electronic) between you and us.
